Every director and PSC must have a verified identity at Companies House before they can incorporate or be appointed to a UK company. We'll walk you through it, or refer you to an Authorised Corporate Service Provider.

After incorporation

The bits that catch new directors out.

Forming the company is the easy bit. These are the things to think about in the first month.

  • Business bank account

    Most providers need the certificate of incorporation and director ID. We can recommend providers that work well for contractors.

  • Corporation-tax registration

    We can register you with HMRC for corporation tax at the same time as forming the company.

  • VAT registration

    Required if you exceed the £90,000 threshold. Voluntary registration may make sense earlier if your clients are VAT-registered.

  • PAYE registration

    Needed if you'll employ anyone, including yourself as a director on a salary. We set it up with HMRC for you.

  • How long does it take?

    Most formations are filed and confirmed within one working day. The certificate of incorporation arrives by email; the original is downloadable from Companies House.

  • What's a PSC?

    A Person with Significant Control — anyone who owns more than 25% of the shares or voting rights, can appoint or remove a majority of the directors, or otherwise has significant influence. Every UK company must maintain a PSC register and file it with Companies House.

  • What's a SIC code?

    A Standard Industrial Classification code that tells Companies House what your business does. Up to four can be filed. We pick them based on what you've described and let you change them later if your activities evolve.

  • Do I need a registered office in the UK?

    Yes — every UK limited company needs a registered office address in the UK that meets the new ECCT Act 2023 'appropriate address' test. PO boxes and unstaffed addresses no longer qualify. You can use our London address (see Virtual Office) or your own.

  • What about the new Companies House identity-verification rules?

    Since the ECCT Act 2023, directors and PSCs must have verified identity at Companies House before incorporating new companies. We'll guide you through the process or hand you off to an Authorised Corporate Service Provider if you'd prefer.

  • Can I form the company myself for £12 at Companies House?

    You can — and for a single-director, single-shareholder Ltd with model articles, that's a perfectly sensible option. We help when you want SIC-code advice, share-structure guidance, PSC register set up correctly the first time, or a registered office bundled in.
